👋 Agreement to Terms
This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Cadence ("we", "us", or "our") governing your use of the Cadence iOS application and any associated services (collectively, the "App").
📄 License Grant
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded device that you own or control, solely for your personal, non-commercial purposes.
This license does not include the right to:
- Sublicense, sell, resell, transfer, or otherwise make the App available to any third party
- Modify, translate, adapt, or create derivative works based on the App
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the App
- Remove, alter, or obscure any proprietary notices in the App
- Use the App for any commercial purpose or for any public display
💳 Subscriptions & In-App Purchases
Cadence offers an optional upgrade ("Cadence Pro") — available as a one-time lifetime purchase or a monthly subscription — that unlocks Pattern Insights and pattern alerts, PDF reports, and 90-day trend history. Everything else — including all tracking, custom symptoms, spreadsheet (CSV) export and backups — is free. The following terms apply:
- Lifetime Purchase: A one-time payment charged to your Apple ID at confirmation of purchase. It does not expire and does not renew.
- Monthly Subscription: Billed through your Apple ID via the App Store; automatically renews unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
- Free Trial: If a free trial is offered for the monthly subscription, its length and the price that follows are shown before you subscribe. The subscription renews at that price when the trial ends unless you cancel at least 24 hours before it ends. Any unused part of a free trial is forfeited when you purchase a subscription. Trials are limited to one per Apple Account.
- Renewal Pricing: Your account is charged for renewal within 24 hours prior to the end of the current period at the same price as the original subscription unless pricing has changed.
- Managing Subscriptions: You can manage or cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period — you retain Pro access until then.
- Refunds: Purchases are processed by Apple, and refund requests are handled by Apple under its own policies. You can request one at reportaproblem.apple.com.
- Price Changes: We reserve the right to change pricing. We will provide reasonable notice of any changes.
Current pricing for both options is displayed within the App at the time of purchase.
🧩 Open Source
Cadence's source code is published on GitHub under the GNU General Public License, version 3. This EULA governs the App you download from the App Store. Nothing in it limits the rights the GPL gives you for that source code, including the right to study, modify and share it under the GPL's terms. The restrictions in the License Grant above apply to the App Store build and to the Cadence name, icon and artwork, which the GPL does not cover.
🍎 Apple App Store Terms
The App is distributed through the Apple App Store. Your use of the App is also subject to the Apple Media Services Terms and Conditions. In the event of any conflict between this EULA and the Apple Media Services Terms and Conditions, the Apple Media Services Terms and Conditions shall govern with respect to the App Store distribution.
You acknowledge that:
- This EULA is concluded between you and Cadence only, and not with Apple Inc.
- Apple is not responsible for the App or its content.
- Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
- Apple is not responsible for addressing any claims by you or any third party relating to the App.
- Apple and Apple's subsidiaries are third-party beneficiaries of this EULA and have the right to enforce it against you.
🔒 Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated into this EULA by reference. By using the App, you consent to the collection and use of your information as described in our Privacy Policy.
🏥 Health Disclaimer
Cadence is designed as a general wellness and self-tracking tool. It is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or health condition.
- Pattern Insights are statistical correlations computed from your own logged data, offered for your own awareness and to support conversations with your doctor — they are not a diagnosis and do not constitute medical advice.
- Always consult a qualified healthcare professional before making decisions about your health, medications, or treatment.
- Do not rely solely on Cadence for medical decisions, and do not use it as a substitute for professional medical judgment.
- HealthKit-derived data (sleep, workouts, and similar metrics) reflects what Apple Health reports and is not independently verified by Cadence for medical accuracy.
🚫 Prohibited Uses
You agree not to use the App to:
- Violate any applicable law or regulation
- Attempt to gain unauthorized access to any portion of the App or its related systems
- Transmit any viruses, malware, or other malicious code
- Interfere with or disrupt the integrity or performance of the App
- Circumvent, disable, or otherwise interfere with security-related features of the App
- Use automated means (bots, scrapers, etc.) to access the App
- Attempt to reverse engineer or extract any proprietary implementation details of the App
⚠️ Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- The App will meet your specific requirements
- The App will be uninterrupted, timely, secure, or error-free
- Pattern Insights or any other computation performed by the App will be accurate, complete, or medically reliable
- Any errors in the App will be corrected
🛡️ Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CADENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO:
- Loss of data or personal information
- Health outcomes based on insights, reports, or data provided by the App
- Interruption or cessation of service
- Bugs, viruses, or other harmful components
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP OR CADENCE PRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
🔄 Updates & Changes
We may update the App from time to time to add features, fix bugs, or address security issues. Updates may be delivered automatically through the App Store. Continued use of the App after an update constitutes acceptance of any changes.
We reserve the right to modify, suspend, or discontinue the App (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the App.
❌ Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any of its terms. Upon termination:
- All rights granted to you under this EULA will immediately cease
- You must stop using the App and delete all copies from your devices
- Active subscription billing will continue through Apple until you cancel via your Apple ID settings
Sections of this EULA that by their nature should survive termination shall survive, including but not limited to Disclaimer of Warranties, Limitation of Liability, and Governing Law.
⚖️ Governing Law
This EULA shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
